A company is in scope only when it exceeds BOTH gates: more than 1,000 employees AND more than €450 million annual turnover. Both conditions are required (AND, not OR). EU-listed companies with more than 500 employees and non-EU companies with EU revenue above €450M remain in scope under the layered Omnibus I rules.

The original CSRD inherited the NFRD-derived thresholds (more than 500 employees plus €40M turnover or €20M balance sheet). Omnibus I (Commission proposal, Feb 2024) raised the gate dramatically to more than 1,000 employees AND more than €450 million turnover, and made both conditions required rather than either-or. The intent was to narrow the in-scope population so smaller companies are protected under the VSME (Voluntary SME) cap.

What if my company is out of scope?

If you do not meet both Omnibus I thresholds you are not currently required to report under CSRD. However, you are very likely to receive sustainability data requests from larger customers.
